This Affiliate Agreement sets out the terms of the Newt Labs affiliate programme. It explains how participation works, how referrals and commissions are handled, and the standards expected from anyone promoting or recommending Newt Labs.

Participation
Who this applies to and how participation works
This agreement applies to approved Newt Labs affiliates and anyone reviewing the programme terms before joining. Approval is not automatic. Newt Labs may review an applicant’s audience, methods, brand fit, and likely referral quality before accepting them into the programme.
Joining the programme does not make an affiliate an employee, agent, legal representative, or formal partner of Newt Labs. It gives limited permission to promote Newt Labs and use approved programme materials in line with this agreement.

Approval is not automatic

Affiliates may only promote Newt Labs and use its branding or programme materials in ways allowed by this agreement.

This is not a formal business partnership
Joining the programme does not create employment, agency, or legal authority to act on behalf of Newt Labs.
Tracking and commissions
How referrals and commissions are handled
Approved affiliates may be given a tracking link, code, or other approved referral method. Referrals use a 30-day tracking window. Where more than one affiliate refers the same customer, the first valid affiliate referral takes priority.
Newt Labs may manually credit a referral where there is clear evidence that an affiliate made the introduction but automatic tracking failed.
A qualifying referral is a new customer who completes an eligible purchase or signup and was not already a Newt Labs customer or the subject of an active enquiry or quote before the affiliate introduction. Previous contact alone does not automatically disqualify a referral where there was no active customer relationship, enquiry, or quote at the time of the introduction.
Commission is calculated on the eligible amount actually paid, excluding VAT and after any discount. Commission is only earned once the relevant sale has been confirmed, payment has been received, and it is no longer at risk of refund, cancellation, or reversal.
Current commission rates are 20% on eligible one-off services and 10% on eligible development bookings. Eligible larger website projects pay 10% of the actual initial deposit paid. Eligible monthly care plans pay 10% on up to 12 commission-bearing monthly payments, while eligible yearly care plans pay 10% as a one-off upfront commission.

Tracking must work properly
Automatic tracking depends on the approved referral method being used correctly. If tracking fails, Newt Labs may manually credit a referral where clear evidence supports the introduction. Otherwise, commission may not be payable.

Not every referral will qualify
A referral may be declined if the customer was already a Newt Labs customer or active prospect, or if an earlier valid affiliate referral takes priority. It may also be declined if the purchase is unpaid, refunded or cancelled, the referral is fraudulent or a self-referral, or it was generated in breach of this agreement.

Commission is earned after validation
Commission becomes payable only after Newt Labs is satisfied that the sale is genuine and payment has been received. Any applicable refund, cancellation, or reversal risk must also have passed. Commission connected with a purchase that is refunded, cancelled, or reversed before payout will not be payable.

Payment details and thresholds
Payouts are processed monthly via PayPal once an affiliate's approved unpaid commission reaches the £80 minimum threshold. Balances below £80 roll forward to a later payout. Affiliates must provide accurate PayPal payment details and any required tax details before payment can be made.
Promotion standards
How Newt Labs may and may not be promoted
Affiliates may promote Newt Labs using honest, relevant, and lawful methods that fit the programme and the brand. That includes trusted recommendations, useful content, and other genuine ways of introducing the right people to Newt Labs.
Affiliates must not misrepresent Newt Labs, use misleading claims, create fake referrals, or promote the business in ways that create legal, reputational, or brand risk.
Allowed methods
Relevant recommendations, useful content, properly permissioned email, social content, and other honest promotion methods that fit the programme rules.
Not allowed
Spam, fake reviews, misleading claims, unauthorised discount messaging, self-referrals, fake leads, or promotion that implies authority an affiliate does not have. Affiliates must not bid on Newt Labs brand terms. Other paid advertising requires prior written approval from Newt Labs.
Brand and disclosure standards
Affiliates may only use Newt Labs branding or programme materials supplied or approved by Newt Labs. They must not present themselves as Newt Labs, register confusingly similar domains or social accounts, or imply authority they do not have. Affiliates must clearly disclose their affiliate relationship where required and follow applicable advertising, privacy, consumer protection, and platform rules. If an affiliate shares another person's personal details directly with Newt Labs, they must have permission to do so.
The programme is designed to reward relevant, trusted introductions, not low-quality volume.
Programme management
How the programme may change or come to an end
Newt Labs may update the affiliate programme or this agreement over time. Changes may include commission rules, qualifying services, tracking methods, approval standards, or promotional restrictions. Material changes will be communicated to current affiliates by email and will take effect from the date stated in that communication. Changes apply prospectively and do not reduce commission already earned before they take effect.
Newt Labs may suspend or end participation where there is misuse, fraud, breach of the agreement, reputational risk, or another reason that makes continued participation unsuitable. Affiliates may stop taking part at any time by ending promotion and no longer using programme materials.

Programme changes
The programme may be updated from time to time. Material changes will be communicated to current affiliates and apply from the stated effective date.

Suspension or termination
Participation may be suspended or ended where there is misuse, breach, fraud, poor conduct, or brand risk. Future recurring commission stops once an affiliate is no longer active in the programme.

What happens after termination
If participation ends, affiliate links, branding, and programme materials must no longer be used. Valid commission already earned before an ordinary termination remains payable under the normal payout rules. Newt Labs may reject or withhold commission connected with fraud, misuse, or a serious breach of this agreement.
Legal and administrative terms
Other important terms that apply to the programme
Participation in the affiliate programme does not guarantee any particular level of income, or any commission at all. Results will always depend on referral quality, fit, customer demand, and compliance with the programme terms.
Affiliates are responsible for declaring and paying any tax due on commission they receive.
These terms are governed by the laws of England and Wales. Any dispute relating to the affiliate programme or these terms will be handled by the courts of England and Wales, unless the law requires otherwise.
No guarantee of income
Joining the programme does not guarantee earnings. Commission depends on valid referrals and qualifying results.
Liability and legal framework
To the fullest extent allowed by law, Newt Labs is not responsible for indirect or consequential loss connected to participation in the programme.
